1. Acceptance and written scope
These website terms apply when you use promobal.in or engage PROMOBAL DIGITAL COMMUNICATION PVT LTD (CIN U73100DL2026PTC463668; GSTIN 07AAQCP7204C1ZH), trading as Promobal. A specific engagement begins only when both parties accept a written proposal, statement of work, order or equivalent confirmation. That document controls the scope, deliverables, responsibilities, fees, timelines and any engagement-specific terms. If it conflicts with these general terms, the accepted written scope prevails for that engagement.
2. Services and changes
Digital marketing outcomes depend on platforms, competition, budgets, customer demand, client approvals, sales follow-up and other factors outside Promobal's control. We do not guarantee rankings, leads, revenue or platform results. Material scope changes, additional channels or work outside agreed deliverables require written approval and may affect fees or timelines.
3. Client responsibilities
The client is responsible for timely, accurate information; lawful products and claims; access to required platforms; feedback and approvals; and internal sales or operational follow-up. Delays in access, content, approvals or payment may move delivery dates. The client must not ask Promobal to publish misleading, unlawful, infringing or platform-prohibited material.
4. Fees, media spend and taxes
Professional fees and billing dates are stated in the accepted scope. Website plan prices and payment amounts are inclusive of 18% GST unless the written proposal expressly states otherwise; the tax invoice identifies the taxable value and applicable CGST/SGST. Advertising spend, software, media, creator, production, domain, hosting and other third-party charges remain separate unless expressly included. Payment is due through the method and timeline stated in the proposal or invoice.
5. Checkout and payment providers
Where online payment is offered, checkout is provided through Razorpay or another authorised provider. A pricing-page amount is a starting plan price, not a substitute for the written scope. Promobal shares or enables payment only after the applicable plan, deliverables and commercial terms have been confirmed.
6. Intellectual property and account ownership
Each party retains its pre-existing materials, tools, methods and intellectual property. Rights in final client-specific deliverables transfer only as described in the accepted scope and after applicable fees are paid. Third-party assets, fonts, software, stock media and platform materials remain subject to their licences. Client advertising, analytics and social accounts remain client-owned unless agreed otherwise.
7. Confidentiality
Each party should protect non-public commercial, technical and customer information received for the engagement and use it only for agreed work. This does not apply to information already public, independently developed, lawfully received from another source or required to be disclosed by law.
8. Portfolio and publicity
Promobal will use a client name, logo, testimonial or identifiable case study publicly only with appropriate permission. Anonymous or aggregated learning may be used only where it does not disclose confidential information. A case study should not be treated as verified unless it is expressly labelled as such.
9. Suspension, cancellation and refunds
Promobal may pause work for overdue payment, missing access, unlawful instructions or material breach after reasonable notice where practical. Cancellation and refund handling follows the accepted scope and our Refund and Cancellation Policy.
10. Liability
Neither party is responsible for indirect or consequential loss to the extent permitted by law. Promobal is not responsible for platform outages, account restrictions imposed by third parties, policy changes, client-side sales performance or unauthorised changes outside its control. Any engagement-specific liability terms are stated in the accepted written scope.
11. Governing law and disputes
These terms are governed by Indian law. The parties should first attempt to resolve concerns through written discussion. Subject to any mandatory legal rights or agreed dispute process, courts in Delhi will have jurisdiction.
12. Website use and updates
You may not attempt to disrupt the website, bypass access controls or misuse its forms. We may update these general terms as our services and legal requirements change; the date above identifies the current website version.
